TERMS OF SERVICE AGREEMENT

1. SCOPE OF THE AGREEMENT & WHO’S WHO

This Terms of Service agreement ("Agreement") governs your access to and use of the website, applications, software, and services provided by Merchant Tech ("Company", "We", "Us", or "Our").

By accessing or using any part of our services, you agree to be bound by this Agreement. If you do not agree to all terms, you may not access the website or use our services.

We classify users under this Agreement into two categories, collectively referred to as "Users":

  • "Guests": Individuals who simply browse our public website or interact with stores hosted on our platform without registering an account.
  • "Merchants": Individuals or entities who register an account to create an online store, distribute content, or utilize our premium business systems.

2. USER ACCOUNTS, ELIGIBILITY, AND CONTENT

  • Age Requirements: Our services are intended solely for individuals who are at least 18 years old (or the age of majority in your jurisdiction). If you are under 18, you may not register for an account.
  • Account Security: If you create an account, you are entirely responsible for maintaining the security of your password and credentials. You are fully liable for all activities, purchases, or actions that occur under your account. You must notify us immediately of any unauthorized use.
  • Responsibility for Content: You retain ownership of all text, images, graphics, product descriptions, data, or code (collectively, "Content") that you upload. However, you represent and warrant that your Content does not infringe upon any third-party intellectual property or privacy rights, does not contain malware or viruses, and is not spam.

3. COMPANY RIGHTS

To protect our platform, our team, and the ecosystem of users we support, we reserve the following explicit rights:

  • Right of Refusal and Termination: We reserve the right to refuse service, deny access, or terminate an account to anyone, for any reason, at any time without notice.
  • Content Control: We do not pre-screen Content. However, we have the right (though not the obligation) in our sole discretion to refuse, modify, or remove any Content or account that we determine violates this Agreement, or is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable.
  • Zero Tolerance for Abuse: Verbal, physical, written, or other abuse (including threats of abuse or retribution) directed toward any Merchant Tech customer, employee, officer, or member will result in immediate account termination.
  • Non-Exclusivity and Competition: We reserve the right to provide our services to your competitors and make no promise of market exclusivity. You acknowledge and agree that our employees or contractors may be customers of your competitors or may create products that compete directly with yours.
  • Unencrypted Data Transmission: You understand and agree that your Content and information (excluding credit card data) may be transferred unencrypted and involve:
  • (a) transmissions over various networks; and
  • (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

4. PROHIBITED USES

You agree that you will not use the platform or its services:

  1. For any unlawful purpose, or to solicit others to perform or participate in any unlawful acts.
  2. To infringe upon our intellectual property rights or the intellectual property rights of others.
  3. To upload, sell, or distribute illegal products, dangerous materials, or unauthorized regulated goods.
  4. To bypass, work around, or circumvent any technical limitations or security features of our services.
  5. To use any automated scraping tools, robots, spiders, or AI models to harvest data from our platform without our express written permission.
  6. To reverse-engineer, decompile, or disassemble any aspect of our software or services.

5. MODIFICATIONS TO SERVICES AND FEES

  • Changes to Services: We are constantly looking for ways to improve. We reserve the right at any time to modify, upgrade, suspend, or discontinue any feature, tool, or aspect of our services without notice to you or penalty to us.
  • Price Adjustments: Prices for using our services or subscription tiers are subject to change. We will notify Merchants of any subscription fee adjustments prior to their renewal cycles.

6. LIMITATION OF LIABILITY & DISCLAIMERS

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. MERCHANT TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO, OR USE OF, THE SITE OR SERVICES.

7. GOVERNING LAW & JURISDICTION

This Agreement and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Kent County, Delaware, without regard to its conflict of law principles.
